End User License Agreement

This End User License Agreement (the “EULA”) is between you and Simple People Holdings, LLC-s(“Simple People Holdings,” “UBuildUs^™,” “we,” “us,” or “our”) and governs your access to and use of the UBuildUs platform, including the web and mobile applications, AI features, APIs, and related services (collectively, the “Services”). Our Privacy Policy also governs your use of the Services and is incorporated herein by reference. This EULA and the Privacy Policy together constitute the entire agreement between you and UBuildUs regarding the Services.

1. Acceptance of Terms

You accept and agree to be bound by the terms of this EULA by clicking “I agree” during sign-up, by accessing the Services, or by using any feature of UBuildUs. If you use the Services on behalf of an organization — for example, as a recruiter acting for an employer — you represent and warrant that you are acting as an agent and have authority to bind that organization to the terms of this EULA. If it is subsequently determined that you lack that authority, you agree to be held personally and individually liable for all obligations, restrictions, and breaches of this EULA.

2. Eligibility

You must be at least 16 years of age to use UBuildUs. If you are between 16 and 18 years of age, you may use the Services only with the consent of a parent or legal guardian. We do not knowingly collect personal information from children under 16. You represent and warrant that you are at least 16 and, if under 18, that you have the explicit consent of a parent or legal guardian. If it is subsequently determined that you are not at least 16 or are using the Services without such consent, any data submitted by you will be deleted and your account terminated. If you believe a child has provided us with information, please contact us at legal@ubuildus.com so we may take steps to delete it.

3. License Grant

Subject to your continued compliance with this EULA, UBuildUs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services: (a) as a candidate, for your personal job-seeking, profile-building, and career-development activities; or (b) as a recruiter, for the good-faith evaluation and engagement of candidates for legitimate hiring roles.

This license is strictly for your temporary use of the Services as they are made available and does not grant, transfer, or assign any ownership of the platform software, the AI models, the trained weights, the UBuildUs brand, or the platform’s underlying intellectual property, all of which is the exclusive property of Simple People Holdings. If you breach any provision of this EULA or the Privacy Policy, UBuildUs may, at its sole discretion, suspend or terminate your license.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You represent and warrant that all information you provide is accurate, current, and complete, and you agree to keep it up to date. You agree to promptly notify us at legal@ubuildus.com of any unauthorized access or suspected breach. A UBuildUs account login may be used by only one individual; sharing credentials or pooling a single subscription among multiple people is strictly prohibited. We may suspend or terminate accounts we reasonably believe have been compromised.

5. Definitions

For purposes of this EULA — and for purposes of any related communications, marketing materials, in-product copy, or in-Service language operated or published by UBuildUs — the following terms have the meanings set forth below. Where these defined meanings differ from the ordinary English meaning of a term, the defined meaning controls.

5.1 “User Content”

means any content, data, files, or materials that you submit to, upload to, generate through, or otherwise transmit via the Services, including without limitation your profile data, resume, journal entries (text, photos, audio, video), professional references, projects, social links, and cause selection.

5.2 “User Ownership” — and the verbs “own,” “owns,” “owning,” “owned”

when used in a user-facing context with respect to your User Content (including, for example, in marketing phrases such as “have agency over your story,” “own your data,” or “your profile, your control”), refer to a non-transferable editorial right granted to you during the term of your account, comprising the following abilities, in each case in accordance with the functionality provided by the Services and subject to this EULA and applicable law:

to read (access and view) such User Content;
to create and update (modify, edit, add to, replace, or otherwise change) such User Content;
to delete or otherwise cause the removal of such User Content from the active production data store of the Services (subject to the retention windows described in our Privacy Policy and legally required record-keeping).

User Ownership is editorial and access-based in nature. It does not constitute a transfer to you of any legal, equitable, beneficial, or other title in or to (a) the Services platform, software, source code, designs, trademarks, service marks, brand assets, or AI models; (b) any aggregated, de-identified, or derived analytics produced from operation of the Services; or (c) any of the Financial and Control Rights reserved to Simple People Holdings under Section 5.3.

5.3 “Financial and Control Rights”

are reserved exclusively to Simple People Holdings and its successors and assigns, and include without limitation: all economic and monetary rights arising from operation of the Services, including the right to set, adjust, and collect subscription fees; to determine pricing tiers; to allocate revenue between operations, charitable disbursement, and reserves; and to introduce or discontinue monetization channels; all operational, editorial, and control rights, including the right to enforce this EULA; to suspend, restrict, or terminate accounts that violate it; to moderate or remove violating content; to set technical standards and rate limits; and to add, modify, or discontinue any feature in its sole discretion; and all intellectual property rights in the platform software, source code, designs, look and feel, trademarks, service marks, logos, brand assets, documentation, AI models and model weights, and all aggregate, de-identified, or anonymized analytics produced from operation of the Services.

5.4 Construction of marketing language

Any user-facing phrase published by UBuildUs stating or implying that a user has “agency over” or “owns” their story, data, profile, content, career, journey, or similar (collectively, “Ownership Language”) shall be construed solely as a reference to the User Ownership defined in Section 5.2. Ownership Language shall not constitute, convey, or be deemed to convey to any user any of the Financial and Control Rights, any legal title in the Services platform, or any other right reserved to UBuildUs.

6. User Content & Your Ownership

You retain User Ownership (as defined in Section 5.2) of your User Content — the editorial rights to read, create, update, and delete such content through the Services. Simple People Holdings retains all Financial and Control Rights (as defined in Section 5.3), including exclusive ownership over all platform-generated data structures, layouts, parsed templates, and presentation formats used to display or transmit information on the platform.

You grant UBuildUs a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, transmit, display, reproduce, and modify your User Content solely as necessary to operate, secure, and improve the Services on your behalf, and to develop, train, tune, and optimize UBuildUs’ proprietary artificial-intelligence models, machine-learning algorithms, and underlying technologies (the “User License”). The User License terminates with respect to a particular item of User Content when you delete it, except to the extent we are legally required to retain it. Once User Content is transformed and incorporated into de-identified, aggregated analytics that no longer identify you, UBuildUs’ continued use of such anonymized data does not require, and is no longer subject to, the User License and is not subject to deletion upon its termination.

Intellectual Property. The Services, including software, design, trademarks, brand assets, AI models, and other copyrights, goodwill, trade dress, and intellectual property rights in the UBuildUs brand and Services, are owned by Simple People Holdings or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

Trademark notice. “UBuildUs^™”, the UBuildUs logo, the phrase “Hiring, where you have agency over your story”, and other marks, names, logos, slogans, or trade dress used in connection with the Services are trademarks or service marks of Simple People Holdings. UBuildUs is the subject of one or more pending trademark applications filed with the United States Patent and Trademark Office; the “™” symbol indicates a claim of common-law and pending-registration trademark rights. No license to use any UBuildUs trademark is granted by this EULA, except the limited right to refer to UBuildUs by name when accurately describing the Services.

7. AI-Generated Content and AI Representation

In offering its Services, UBuildUs uses artificial intelligence — including a self-hosted document parser, Google Document AI, and Google Gemini — to extract structured data from your resume, generate profile summaries and resume suggestions, estimate skill levels, transcribe voice notes, structure journal entries, propose Persona Builder personality traits for your review, and (when you opt in via your AI Response Scope setting) respond on your behalf to recruiter questions grounded in your profile.

AI-generated outputs may contain errors, omissions, hallucinations, or biases, and UBuildUs is not responsible for any AI-generated responses.
You are solely responsible for reviewing, verifying, and editing AI-generated content before relying on it, sharing it, or making any decision based on it.
AI-curated personality traits become part of your profile only after you explicitly approve them in the review queue.
UBuildUs makes no warranty or guarantee that the AI will produce accurate, complete, or fit-for-purpose results, and, to the maximum extent permitted by law, is not liable for hiring outcomes, missed opportunities, employment decisions, or other damages arising from your use of, or any third party’s reliance on, AI-generated content.
If you opt into the AI Response Scope setting, you are solely responsible for all responses sent by the AI system on your behalf.
Skill Classification & Competency Labels.The Services may display automated skill-proficiency designations, including labels such as “Expert,” “Advanced,” “Intermediate,” “Proficient,” “Beginner,” or “Familiar,” and associated progress bars or numerical rankings. You acknowledge and agree that these designations are estimates generated automatically by algorithmic parsing of unverified user inputs, resumes, and self-assessments. They do not constitute an endorsement, verification, testing, credentialing, or certification of competency by UBuildUs. Recruiters and employers are solely responsible for independently vetting and verifying a candidate’s actual skill levels and qualifications.

7.1 Chat Assistant (Slack & Microsoft Teams)

The Services include an optional assistant you can reach by connecting Slack or Microsoft Teams. The assistant is an AI feature subject to this Section 7: it may converse with you and draft profile content, which becomes part of your profile only after you confirm it, and you remain responsible for reviewing what you save.

These integrations are optional and off until you connect them; you may disconnect at any time from your settings.
You are responsible for the Slack or Microsoft Teams account you connect and for ensuring you are authorized to connect it. Only connect accounts you control.
The integrations depend on Slack and Microsoft, which are third-party services UBuildUs does not control; we do not guarantee their availability, and your use of Slack or Teams is also governed by their respective terms.
Messages you send to the assistant are processed as described in our Privacy Policy.

8. Data Connect (External AI Access)

The Services include an optional “Data Connect” feature that lets a candidate generate scoped API keys authorizing external AI tools of the candidate’s choosing (such as ChatGPT, Claude, or a custom assistant) to retrieve portions of the candidate’s profile and journal, according to the scope and expiration the candidate sets.

You are solely responsible for any API key you create and for any tool or party to whom you provide it. Treat keys like a password.
Data retrieved by an external tool via your key is thereafter governed by that tool’s terms and privacy policy, not this EULA or our Privacy Policy. UBuildUs does not control, and is not responsible for, how an external service uses data it retrieves.
You may set a key’s scope and expiration and revoke it at any time. Keys are subject to rate and usage limits, and UBuildUs may suspend keys that are abused.

9. Subscription, Trial, and Billing

Access to the Services beyond limited free features requires a paid subscription. Current pricing is published at ubuildus.com and is, as of the Effective Date, $10/month for candidates and $20/month for recruiters, exclusive of applicable fees and taxes (the “Subscription Fee”). Each user may receive a 30-day free trial with no credit card required. Founding members (accounts created before the founding cutoff) may receive additional promotional pricing as published; promotional terms are subject to change. Multiple accounts reasonably determined to be created by a single user may not be eligible for a free trial, at UBuildUs’ sole discretion.

Subscriptions renew automatically at the end of each billing period until you cancel. You may cancel at any time through your account settings or the Stripe customer portal; cancellation takes effect at the end of the current billing period and you retain access through that date. Except as otherwise provided herein, all refunds are issued at the sole discretion of UBuildUs, and we do not provide refunds for partial billing periods. Prices may change with at least 30 days’ prior notice.

Payments are processed by Stripe, Inc.; use of Stripe is subject to the Stripe Services Agreement. UBuildUs does not store your full payment card number, CVC, or other banking details.

10. Charitable Giving Component

A portion of every paid membership (currently 25% of the Subscription Fee, subject to change) is automatically directed, on a periodic basis, to a verified nonprofit you select from the Every.org directory through our integration with the Every.org Partner API (the “Nonprofit Amount”). You may change your selected nonprofit at any time from your account settings. The Nonprofit Amount is the only term UBuildUs commits to in this EULA; we may modify the donation structure, mechanics, cadence, or selected partners without notice.

UBuildUs does not warrant the activities, financial practices, tax-exempt status, or use of funds by any nonprofit listed in the Every.org directory. Nonprofit Amounts processed through Every.org are also subject to the Every.org Donor Terms. You recognize that UBuildUs is not a nonprofit organization and that no money paid to UBuildUs, including Nonprofit Amounts, is tax deductible; no giving or year-end contribution statements will be provided to you. Consult your tax or legal professional for any tax consequences.

11. No Sale of Data to Advertisers

🔒 UBuildUs does not sell user data to advertisers.

Notwithstanding the limited license granted in Section 6 and any other provision of this EULA, UBuildUs covenants and agrees that it shall not sell, rent, license, share for commercial advertising purposes, exchange, or transfer for monetary or other valuable consideration any User Content or personal data of any user to any third-party advertiser, advertising network, data broker, marketing intermediary, or other party for the purpose of behavioral advertising, targeted advertising, profiling, or audience segmentation. This covenant:

is intended to be enforceable as a material contractual obligation of UBuildUs under this EULA;
binds UBuildUs and its successors and assigns, including in connection with any merger, acquisition, asset sale, or bankruptcy proceeding; and
does not prohibit UBuildUs from sharing data with the limited service providers (“sub-processors”) strictly necessary to operate the Services, as enumerated in our Privacy Policy, none of whom is authorized to use such data for their own advertising or to onward-sell it.

12. Acceptable Use

You agree NOT to:

Use the Services for any unlawful purpose or in violation of any applicable law, regulation, or court order.
Submit false, misleading, impersonating, or fraudulent profile information, including misrepresentation of your identity, work history, education, or credentials.
Upload viruses, malicious code, or any content that infringes the intellectual property, privacy, or publicity rights of another person.
Scrape, crawl, harvest, data-mine, or use any automated means to extract data from the Services or other users’ profiles other than through features the Services expressly provide, or bypass any rate-limiting, robots instructions, or security measures.
Attempt to reverse engineer, decompile, disassemble, or extract the source code, AI model weights, embeddings, or trained parameters of the Services.
Use the Services to send unsolicited bulk communications (spam), commercial solicitations unrelated to legitimate hiring, or harassment of any kind.
Use the Services to discriminate against candidates on the basis of race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, veteran status, or any other characteristic protected by applicable employment law.
Interfere with the security, integrity, performance, or operation of the Services, or engage in any unauthorized probing, vulnerability scanning, or penetration testing of our systems.
Use the Services to make automated, AI-driven, or otherwise non-individualized adverse hiring decisions in jurisdictions where doing so is prohibited or restricted.

Violation of this Section may result in immediate suspension or termination of your account and any active subscription, without refund. UBuildUs reserves the right, but not the obligation, to monitor, pre-screen, refuse, or remove any User Content at any time if we determine in our sole discretion that it violates this EULA, infringes third-party rights, or violates applicable law.

13. Recruiter-Specific Obligations

If you use the Services as a recruiter or hiring representative, you additionally agree that you will:

Not use the Services to discriminate against candidates on the basis of any characteristic protected by applicable employment law.
Use candidate information accessed through the Services solely for the legitimate evaluation of the candidate for one or more specific, identified roles.
Comply with all applicable employment, anti-discrimination, fair-credit-reporting, equal-opportunity, and privacy laws in every jurisdiction in which you operate or in which the candidate resides.
Not share or onward-disclose candidate information — including any share link, downloaded resume, or contact details — outside your immediate hiring team without the candidate’s express consent, except as required by law.
Make hiring decisions based on your own substantive assessment of the candidate and not solely on AI-generated summaries, scores, estimated skill levels, or recommendations.
Respect candidate-controlled visibility settings, including the candidate’s AI Response Scope and identity-reveal opt-in flow; do not attempt to circumvent these controls.

15. Privacy

Our Privacy Policy describes how we collect, use, store, share, and protect your personal information. By using the Services, you acknowledge and agree to the Privacy Policy. We comply with applicable U.S. state privacy laws, including the Indiana Consumer Data Protection Act (ICDPA), Ind. Code § 24-15, and honor the data-subject rights described there for residents of Indiana.

16. Disclaimer of Warranties

The Services, including all AI features, content, and outputs, are provided “as is” and “as available” without warranties of any kind, express or implied. To the fullest extent permitted by law, UBuildUs and its affiliates and licensors disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. UBuildUs does not warrant that the Services will be uninterrupted, error-free, or secure; that defects will be corrected; that the AI will produce accurate or complete results; or that any hiring outcome will be achieved. UBuildUs may modify, suspend, discontinue, or temporarily pause any portion of the Services at any time, with or without notice, and will not be liable for any resulting damages.

17. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will UBuildUs, Simple People Holdings, or their officers, directors, employees, agents, assigns, or third-party licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost opportunities, loss of goodwill, business interruption, or the cost of substitute services, arising out of or in connection with this EULA or your use of the Services, even if advised of the possibility of such damages. UBuildUs’ total aggregate liability for all claims arising out of or relating to this EULA or the Services will not exceed the greater of (a) the amount you actually paid to UBuildUs in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

18. Indemnification

You agree to indemnify, defend, and hold harmless UBuildUs, Simple People Holdings, and their respective officers, directors, employees, agents, assigns, and affiliates from and against any third-party claims, demands, actions, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or access to the Services; (b) your User Content; (c) your violation of this EULA or of any applicable law; or (d) your violation of any third-party right, including any intellectual-property, privacy, publicity, or employment-related right.

19. Termination

You may terminate this EULA at any time by deleting your account through the Services. Upon deletion, your User Content will be removed as described in the Privacy Policy. UBuildUs may suspend or terminate your access at any time, with or without prior notice, for: (a) any violation of this EULA; (b) any conduct that we reasonably believe poses a security, legal, or reputational risk; (c) extended account inactivity; or (d) discontinuation of the Services.

Effect of Termination. Upon termination, your right to use the Services ends immediately. Any provisions of this EULA that by their nature should survive will survive, including Sections 5–8, 11–13, and 16–20.

20. Governing Law and Dispute Resolution

This EULA is governed by the laws of the State of Indiana, USA, without regard to its conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to this EULA or the Services will be brought exclusively in the state or federal courts located in Marion County, Indiana, and you and UBuildUs consent to the exclusive personal jurisdiction of those courts. To the maximum extent permitted by law, you and UBuildUs each waive the right to a trial by jury and the right to participate as a plaintiff or class member in any class, collective, or representative action.

21. Modifications to this EULA

We may revise this EULA from time to time. Material changes will be communicated through the Services, by email, or via the published Last Updated date, and may require you to re-accept the updated terms. Your continued use of the Services after the effective date of a revised EULA constitutes acceptance of the changes. If you do not accept the revised EULA, you must stop using the Services and may delete your account.

22. Miscellaneous

Severability. If any provision of this EULA is held unenforceable, the remaining provisions remain in full force and effect.
No Waiver. Our failure to enforce any part of this EULA does not waive any rights. No waiver is effective unless in a signed writing.
Assignment. You may not assign your rights under this EULA without our prior written consent; we may assign it freely.
Entire Agreement. This EULA, together with the Privacy Policy, constitutes the entire agreement between you and UBuildUs regarding the Services and supersedes any prior agreement on the same subject.
Export and Trade Compliance. You represent that you are not located in, or a resident of, any country subject to comprehensive U.S. sanctions, and are not on any U.S. government list of prohibited or restricted parties.
